These Terms of Service ("Terms") govern your access to and use of the irrefutablemomentum.com website, free tools, AI features, and any services provided by Irrefutable Momentum ("we", "us"). By using the Site you agree to these Terms. If you don't agree, don't use the Site.
1. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract. You're responsible for activity under your account and for keeping credentials secure.
2. Services overview
We provide marketing strategy, websites, funnels, paid advertising, automation, AI tools, coaching, and related services. Specific scope, deliverables, fees, and timelines for paid engagements are described in a separate written agreement (Statement of Work or Order Form), which controls if it conflicts with these Terms.
3. Free tools, audits & mockups
Free tools (SEO Audit, Accessibility Audit, Free Website Mockup, ELCA, etc.) are provided "as is" for evaluation purposes. They are informational, not legal or compliance advice. We may limit, change, or discontinue them without notice.
4. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or to violate any third party's rights.
- Reverse engineer, scrape, or harvest content beyond standard crawling we permit in
robots.txt. - Submit URLs you don't own or aren't authorized to audit.
- Upload malicious code or attempt to disrupt the Site.
- Use AI features to generate illegal, hateful, defamatory, or harassing content.
- Spam our forms, chat, or SMS endpoints.
5. AI features disclaimer
The Site includes AI-generated chat, voice, audits, and content. AI outputs can be inaccurate or out of date. You're responsible for verifying anything you act on. AI conversations may be stored to improve the Service. You can request a human at any time by emailing team@irrefutablemomentum.com.
6. SMS & email communications
By providing your phone number and opting in, you consent to receive transactional and marketing SMS from us. Reply STOP to cancel, HELP for help. Message/data rates may apply. Frequency varies. Marketing emails include an unsubscribe link in every message.
7. Intellectual property
The Site, content, frameworks, code, designs, and branding are owned by Irrefutable Momentum or its licensors and are protected by law. You receive a limited, revocable, non-exclusive license to access the Site for personal or internal business use. For paid deliverables, ownership transfers per the applicable Statement of Work.
8. User submissions
Anything you submit (form responses, AI prompts, audit URLs, testimonials) grants us a worldwide, royalty-free license to use it to operate and improve the Service. You represent you have the right to submit it.
9. No guarantees
Marketing results depend on many factors outside our control (market, offer, execution, spend). We don't guarantee specific revenue, leads, rankings, or outcomes. Any forward-looking statements are estimates, not promises.
10. Disclaimer of warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRREFUTABLE MOMENTUM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SITE OR FREE TOOLS WILL NOT EXCEED USD $100. LIABILITY FOR PAID ENGAGEMENTS IS CAPPED AT FEES PAID IN THE TRAILING 3 MONTHS.
12. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the Site, your content, or your violation of these Terms or any law.
13. Third-party services
The Site integrates with third parties (Supabase, HubSpot, Twilio, ElevenLabs, Google, Meta, Lovable). Their terms and privacy policies apply to their portions of the Service.
14. Termination
We may suspend or terminate access at any time, with or without notice, for any reason including breach of these Terms. You may stop using the Site at any time.
15. DMCA / copyright
To report alleged copyright infringement, email team@irrefutablemomentum.com with the required DMCA elements (identification of the work, location on our Site, your contact info, a good-faith statement, and a signature).
16. Governing law & venue
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Exclusive venue for disputes is the state or federal courts located in Orange County, Florida, and you consent to personal jurisdiction there.
17. Dispute resolution
The parties will first attempt to resolve any dispute informally for 30 days. If unresolved, disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Rules, on an individual basis (no class actions), except either party may bring a claim in small-claims court or seek injunctive relief for IP issues.
18. Changes
We may update these Terms. Continued use after changes means acceptance. Material changes will be flagged with a new "Last updated" date.
